These Terms of Service (“Terms”) govern your access to and use of roostersystems.studio (the “Site”), operated by Rooster Systems Studio, LLC (“Rooster Systems Studio,” “we,” “us,” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.
Our Privacy Policy explains how we handle information related to your use of the Site and is incorporated into these Terms by reference.
Rooster Systems Studio provides technology assessment and advisory services, including the Strategic Technology Asset System (STAS), a proprietary technology assessment and decision-support methodology, for local governments, utilities, and nonprofit organizations. The Site is provided to share information about these services and to allow prospective clients to get in touch.
The Site and its contents — including text, graphics, the STAS white paper, and related materials — are provided for general informational purposes only. Nothing on the Site constitutes professional, technical, financial, legal, or engineering advice, and no advisor-client relationship is formed by browsing the Site or downloading materials from it. Any such relationship is formed only through a separate signed engagement agreement or Statement of Work.
Information presented on this Site is intended to describe our services and methodology and should not be relied upon as the sole basis for operational, engineering, procurement, legal, or financial decisions.
You agree to use the Site only for lawful purposes and not to:
All content on the Site, including the STAS white paper, the STAS name, framework, methodology, scoring model, workbook templates, logos, and written materials, is the property of Rooster Systems Studio or its licensors and is protected by copyright and other intellectual property laws.
You may view and download materials the Site expressly makes available for that purpose (e.g., a white paper) for your own internal, non-commercial evaluation. You may not reproduce, redistribute, resell, or create derivative works from Site content without our prior written permission.
Nothing in these Terms grants any license or ownership interest in the STAS methodology, framework, scoring model, or other proprietary intellectual property except as expressly provided in a separate written license or engagement agreement.
Purchased products, such as the STAS workbook, are licensed for use under the terms provided at the time of purchase or in a separate license or engagement agreement, not for resale or redistribution.
The Site does not currently process payments directly. Purchases of the STAS workbook, guided engagements, and advisory services are arranged separately (for example, by invoice or a payment link sent directly to you) and are governed by the specific proposal, order form, Statement of Work, or engagement agreement provided to you at that time. These Terms apply to your use of the Site itself; they do not replace the terms of any separate agreement you sign with us.
The Site and its content are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that information on the Site is complete, accurate, or current.
To the fullest extent permitted by law, Rooster Systems Studio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenue, arising from your use of, or inability to use, the Site, even if advised of the possibility of such damages.
Our total liability for any claim arising from your use of the Site will not exceed the greater of one hundred dollars ($100) or the amount, if any, paid by you directly to access or use the Site.
This section does not limit liability that cannot be limited under applicable law.
The Site may link to third-party websites we do not control. We are not responsible for the content, accuracy, or practices of those sites.
You agree to indemnify and hold harmless Rooster Systems Studio from any claims, damages, or expenses (including reasonable attorneys’ fees) arising from your misuse of the Site or violation of these Terms.
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Any disputes arising from these Terms or use of the Site will be resolved in the state or federal courts located in North Carolina.
We may update these Terms from time to time, particularly as the Site adds new features or services. We will update the Effective Date above when changes are made. Material changes become effective upon posting to the Site unless otherwise stated. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
